Girl Scouts of Kentuckiana is governed by a Board of Directors, which provides strategic leadership, advocacy, decision-making, policy development, and oversight.

Our Board of Directors is made of volunteer members elected to serve in their roles for a specific term. This is a diverse group that spans the geographic areas served by our council. Together, they bring a wealth of Girl Scout knowledge, specific strengths, and corporate expertise related to the council’s business needs.

Board members are elected by the council’s membership, as represented by voting delegates at the Annual Meeting. Although board members are elected as individuals, the Board of Directors functions as one body in deliberating and decision making. The Board also creates and empowers various Board committees, which each fulfill specialized responsibilities to act as topical advisors. Find full information on the Board committees here.

Youth Board Members

Our girl members play an important and unique role. They are identified and appointed through a specific process, and share a voice alongside their fellow Board members. Girl Board members do not vote on Board business but participate in matters coming before the Board. The next application process will begin in spring 2027. Girl Board Members serve one-year terms beginning each summer. Applications are reviewed by the council’s Board Development Committee, and recommendations are made to the Board of Directors for final selection.

Board Committees

Several Board committees support our council by helping members and elected leaders make informed actions. Committee members work closely with fellow volunteers, staff, and others to understand perspectives, provide fact-based analysis, and make recommendations to others.

The working Board committees focus on dedicated topics: the Audit Committee, Finance Committee, Fund Development Committee, and the Properties Committee.

Committee members are appointed to serve by the Board Chair and ratified by the Board. Each Board committee has an individual charter which guides its focus and responsibilities. Committee recommendations come forward at open Board meetings, which all council members are welcome to attend and observe.

Committee Purpose: To fulfill our council fiduciary responsibilities by recommending, reviewing, and maintaining policies that further the mission of GSK, mitigate risk, ensure compliance with local laws, and align with GSUSA requirements.

Committee Process:

Establish and maintain a calendar for policy review and recommend changes to the Board of Directors.
Provide an opportunity for volunteers to give feedback for the council to improve our policies, procedures, and results for girls.
Collect and utilize data from council wide surveys, feedback at annual meetings and other means to initiate reviews of current policies and propose new policies that further the work of GSK.
Periodically test for compliance with various policies.
Hold one joint meeting per year with the Finance Committee to review the external audit.

2026–2027 Objectives

Review proposed revisions to the Tobacco Policy addressing electronic and oral tobacco and nicotine products.
Review proposed AI Policy standards for staff and volunteers that promote responsible use, protect privacy, and support organizational values and brand standards.
Review proposed social media policy standards for staff and volunteers that establish expectations for responsible online conduct, organizational representation, and alignment with organizational values.
Review proposed revisions to the Code of Conduct establishing expectations for adult-to-adult conduct, consistent with the principles reflected in youth policies regarding abuse, bullying, harassment, and violence.
Provide oversight of the 2026 Culture of Engagement Survey results and report findings to the Board of Directors.

Committee Purpose: To assist the board in fulfilling its fiduciary duty for prudent fiscal oversight and maintaining the fiscal stability and long-term economic health of GSK.

Committee Process:

Ensure that the financial planning for GSK is supportive of and fully integrated with the long-range plans and mission of the council.
Review council financial performance, recommend annual budget, recommend related policies and standards.
Hold one joint meeting per year with the Audit Committee to review the external audit.
Conduct a semi-annual investment review with our investment advisor to ensure compliance with board investment policies.
Meet annually with the 401K administrator to fulfill our fiduciary requirements.

2026–2027 Objectives

Review monthly financials and assure compliance with the Board-approved budget.
Oversee the re-design of GSK financial processes, including potential use of shared-services, following staff retirements and staff re-structuring.
Continue to support pursuing alternative revenue initiatives.

Committee Purpose: To grow philanthropic resources for GSK by identifying and leading fund development strategies that build on the strengths of the council.

Committee Process:

Actively identify and solicit donors.
Develop and implement fundraising strategy in partnership with GSK staff leadership.

Assess the feasibility of establishing an endowment to provide long-term financial support for sustaining GSK properties.
Identify and explore opportunities to grow fundraising and increase revenue through Via Colori.
Evaluate potential grant opportunities and corporate funding partnerships to support GSK’s initiatives.
Identify potential matching grant opportunities and establish clear criteria for eligibility, participation, and implementation.

Committee Purpose: To develop and monitor long-term properties plans and strategies that maximize our ability to implement the Girl Scout Leadership Experience, meet program needs and interests of girls and volunteers, and to eliminate usage barriers, maximize our resources, and maximize accomplishment of GSK’s strategic priorities.

Committee Process:

Plan, monitor, evaluate, and recommend priorities for the council's current and potential future use of its properties.
Recommend priorities related to retention, release, and resting/holding of properties.
Recommend policies and standards related to council properties.
Work with fund development and program staff, committees, and task forces to facilitate the camp sustainability plans and coordination of program, fund development (including alternate revenue streams), and property development.

2026–2027 Objectives

Assess the current condition, utilization, and sustainability of Stem’s high ropes course and provide recommendations.
Monitor the development and implementation of Site Team Sustainability Plans and provide recommendations to support long-term financial sustainability.
Review the efficacy and future viability of the wastewater treatment plants at Bear Creek, Pennyroyal, and Shantituck in light of current regulations and trends.
Assess surplus and underutilized equipment across GSK properties and recommend opportunities for sale or disposal.
Partner with the PLC Building Task Force to support planning and coordination related to the GSK headquarters move.
